Non-Exclusive:
A "non-exclusive" deal means that if you sign a contract with the provider of this Opportunity, then you are free to sign contracts with other publishers, song pluggers, and libraries that have non-exclusive deals. Your song will exist in a catalog and be available for usage in films, TV, video games and more (advertisements and cable TV shows often use non-exclusive libraries).
The advantage to this kind of contract is that you're welcome to pitch the song to other music industry entities and can make it available in the widest array of places to find by music supervisors. The disadvantage is that there is less incentive for a publisher to pitch on a non-exclusive deal because the song is available elsewhere, and most major labels and primetime television programs will ask for an exclusive contract.
Exclusive:
An exclusive deal means that if you sign a contract with the provider of this Opportunity, then you cannot sign a contract with a different publisher for the same song (including your own publishing company).
Major television networks will often require songs with exclusive deals, so if you're working with a publisher that has one with you, those songs are ready to pitch. Record labels will also often require exclusive publishing contracts if a track is going to be released on a major album. Some publishers will also offer an upfront fee for your track in exchange for an exclusive deal.
Exclusivity often pushes a publisher to pitch songs with more diligence, since their catalog is the only place to get them. The disadvantage is that if you're unhappy with the results that your publisher is getting on your song, you have to wait until the contract is over to start pitching it yourself or to another publisher.
